Terms of Service

Accepting these terms

These Terms are a binding agreement between you and Twerll. By creating an account, tapping a button that references these Terms, opening a signing or chat link, or otherwise using the Service, you agree to these Terms, to our Privacy Policy, and (if you sign documents) to the E-Sign Disclosure. If you do not agree, do not use the Service.

If you use the Service for a business or another person, you confirm you have authority to bind them.

Eligibility and accounts

• You must be at least 18, or the age of majority where you live, whichever is higher. Contracts made by minors may not be enforceable.
• Provide accurate information (including a working email) and keep it up to date.
• You are responsible for everything under your account. Keep your credentials confidential and tell us immediately if you suspect unauthorized access.
• One person per account. Do not share, sell, or transfer it.

The service

Depending on your plan and platform, the Service includes: casual and formal agreements; signature requests by link, QR code, email, or directly to your connections; electronic signing (drawn, typed, voice, and video signatures where offered); document tools; the Evidence Vault; secure chats and rooms (including guest links); AI-assisted drafting and review; notifications; and Twerll Pro features. Features can change as the product evolves.

Electronic signatures

By using the Service you agree that:

• You intend electronic signatures made through Twerll to be as valid, binding, and enforceable as handwritten ones, to the extent permitted by applicable law (including Canadian federal and provincial e-commerce legislation, the U.S. ESIGN Act and UETA, and the EU eIDAS Regulation where they apply).
• Some document types cannot be signed electronically in some places (for example wills, certain family law documents, certain property transfers, court documents, documents needing notarization). You are solely responsible for confirming that electronic signature is legally permitted for your document in your jurisdiction.
• You will only send signature requests to people who agreed to receive them, and never pressure, deceive, or coerce a signer.
• A record of the signing process (timestamps, verification events, device details) may be embedded in the signed document, its certificate, and our audit records.

Twerll is not a party to your agreements

We provide the tools; you and your counterparties provide the agreement. We are not a party to, and not responsible for, the content, quality, legality, performance, or enforceability of any agreement created or signed through the Service. Disputes about an agreement are between the people who signed it.

No legal advice

Twerll is not a law firm and does not provide legal advice. Nothing in the Service (templates, suggested wording, AI drafts, AI explanations, red-flag reviews, summaries) is legal advice, and no lawyer-client relationship is created. For anything important, consult a licensed lawyer in your jurisdiction.

AI features

• AI features (drafting, document explanation, question answering, red-flag review, text recognition) generate output automatically. Output can be incomplete, out of date, or wrong, and can miss issues that matter.
• You must review AI output yourself before relying on it or signing anything based on it. You are responsible for what you accept, send, and sign.
• Content you submit to AI features is processed by third-party AI model providers on our behalf, as described in the Privacy Policy.
• AI features may be metered, plan-restricted, or changed at any time.

Evidence Vault and certificates

The Evidence Vault stores files in sealed form and keeps a chain-of-custody ledger. Certificates are technical records generated from that data. They are designed to help demonstrate integrity (that a file has not changed since sealing) and history.

We do not guarantee that any court, tribunal, arbitrator, or authority will accept, admit, or give particular weight to sealed files, ledgers, or certificates. Rules of evidence vary by jurisdiction and case.

Public verification pages let anyone holding a certificate's verification details confirm integrity, so do not share certificates you want private. Keep independent backups of anything critical.

Identity verification: what we check

Depending on how a document is sent, a signer may be verified by possession of a unique signing link or QR code, a one-time code sent to an email address, or an authenticated Twerll account. We do not verify government ID and we do not guarantee a signer is who they claim to be. The signing record shows which method was used. Choose a method appropriate for your document and, where needed, verify your counterparty by other means.

Acceptable use

You agree not to use the Service to:

• create, sign, or manage agreements for anything illegal, or that facilitates fraud or exploitation;
• impersonate anyone, forge a signature, or sign without authority;
• upload malware or content you have no right to share, or that is defamatory, harassing, or hateful;
• harass or threaten anyone in chats, rooms, or signature requests, or keep contacting someone who blocked you;
• send unsolicited bulk requests, invites, or messages;
• probe, overload, or interfere with the Service, bypass limits or paywalls, or scrape at scale;
• manipulate referral or points programs with fake accounts or self-referrals.

We may investigate violations and suspend or terminate accounts. Report abuse in-app or at legal@twerll.com.

Guests, links, and shared rooms

• Signing links, QR codes, and room invites grant access to whoever holds them. You are responsible for how you share links you generate.
• Guests (people using a link without an account) must comply with these Terms; using a guest link is acceptance of these Terms for that session.
• Treat room content as visible to all current participants.
• We may expire, revoke, or rotate links and tokens for security.

Twerll Pro, billing, and refunds

Current status. While Twerll is in early access, the features we offer are free to use and we do not collect payments. Paid Twerll Pro subscriptions are not yet on sale; the rest of this section applies only if and when they are offered.

Plans. Parts of the Service are free; premium features may require Twerll Pro. Prices and inclusions are shown in-app at purchase. Payments are processed by the payment provider shown at purchase; their terms also apply.

Renewal. Subscriptions renew automatically (monthly or yearly) until cancelled, and your payment method is charged at the start of each period.

Cancelling. Cancel any time; it takes effect at the end of the current period and you keep Pro until then. Cancel in the in-app billing settings, or in the store's subscription settings if you purchased through an app store.

Refunds. Except where required by law or store policy, payments are non-refundable and partial periods are not credited. Nothing here limits non-waivable consumer rights in your province or country.

Changes. Prices can change with reasonable advance notice, applying from your next renewal. Promotional pricing (including founding-member pricing) continues only while your subscription stays continuously active, unless stated otherwise. Free features, trials, and promotional Pro time can change and have no cash value.

Referrals and points

Referral and points programs are promotional. Rewards require genuine, distinct users; self-referrals and fake or duplicate accounts are prohibited. We may adjust, withhold, or revoke rewards obtained through abuse, correct errors, and change or end the program at any time. Points are not money, are non-transferable, and have no cash value.

Privacy

Our Privacy Policy explains what personal information we collect, why, who we share it with, and your rights. It forms part of these Terms.

Data retention and deletion

• Deleted items may first move to trash with a grace period (currently 10 days) before permanent deletion; backups may persist briefly.
• Signed agreements and their audit records are shared records: if you delete your account or a document, copies may remain available to the other parties, and signing and custody records may be retained for the integrity of their records and legal compliance.
• Request account deletion in-app or at legal@twerll.com.

Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access (with notice where practicable) for material or repeated violations, risk or legal exposure, non-payment, or discontinuation of the Service. Sections that should survive termination survive. Where practicable we will give you a reasonable opportunity to export your documents.

Limitation of liability

To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, data, goodwill, or opportunities; (b) we are not liable for the content, performance, breach, or enforceability of any agreement between users, or the acts of any user or guest; and (c) our total liability for all claims is limited to the greater of the amounts you paid us in the 12 months before the claim and CAD $50. Nothing limits liability that cannot be limited by law.

Indemnity

You will indemnify us against claims, damages, and reasonable legal costs arising from Your Content, your agreements with other parties, or your violation of these Terms, the law, or third-party rights, except to the extent caused by our own breach of these Terms.

Governing law and disputes

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable in it. Courts located in Nova Scotia have exclusive jurisdiction, and each party consents to them. If you are a consumer, this does not deprive you of mandatory consumer protections or of the right to bring proceedings in your own province where local law grants it. Before filing any claim, contact legal@twerll.com; most issues resolve quickly and informally.

Changes to the service or these terms

We are actively developing Twerll and may add, change, or remove features. We may update these Terms; for material changes we give reasonable advance notice (in-app or by email) with the new effective date. Continuing to use the Service after that date is acceptance. If you do not agree, stop using the Service and cancel any subscription before the change takes effect.

General

• Entire agreement: these Terms, the Privacy Policy, and the E-Sign Disclosure are the whole agreement about the Service.
• Severability: if a provision is unenforceable, the rest remains.
• No waiver: not enforcing a provision is not a waiver.
• Assignment: you may not assign these Terms; we may assign them in a reorganization, sale, or transfer of the Service without reducing your rights.
• Language: drafted in English. Les parties confirment leur volonté que cette convention soit rédigée en anglais.
• App stores: if you obtain a Twerll app through an app store, that store's terms also apply; the store has no obligation to you under these Terms.
